To do clean installs with my win7 upgrade disk I had to change a registry key before it would activate.
HKEY_LOCAL_MACHINE/Software/Microsoft/Windows/CurrentVersion/Setup/OOBE
Change "MediaBootInstall" from "1" to "0"
after doing that I used typed "slmgr /rearm" into a command prompt, waited for conformation prompt, restarted my pc and activated.
